Glass staircase inside a modern home
Platform

Everything a US offering needs, in one place

A back office, a token engine, an investor portal and a page builder that share one record. Launch under your brand and run every offering from day one to final payout.

Key benefits

Legal workflow and software, shipped together

Legal and tech together

Exemption rules, the document flow and filings are part of the product. Your securities counsel reviews the setup; the platform enforces it on every transaction.

Fast launch

A white-label platform targets 2–4 weeks from signed scope to your first offering page. Your legal timeline sets the date of the first sale.

State by state

Federal exemptions plus a notice-filing calendar for each state where an investor lives, built to help your counsel file on time.

Security

Role-based access, MFA for every admin, a hash-chained audit log and contract roles held by multisig wallets.

The four tools

What each part does

01 · Back office

Back office

The control room for your team. Every offering, investor and payout, with the right access for each role.

  • Projects with units, floors, unit types and sizes
  • Sale stages, each with its own price and cap
  • One investor queue for KYC, OFAC and accreditation
  • Cap table with freeze, unfreeze and reasoned transfers
  • Distribution runs with per-holder math, previewed before payment
  • Redemption requests with approve and reject
  • Form D and state notice tracker with due dates
  • Team roles, MFA and an audit log you can export
02 · Token engine

Token engine

One ERC-3643 identity-gated token per offering, on Base. The token checks the exemption's rules itself, on every mint and every transfer.

  • Identity registry with claims for KYC and accreditation
  • Rules per exemption: accreditation, US-only, holding lock, 506(b) cap
  • Mint only after funds settle, up to the offering's cap
  • Burns only by the agent role, with a reason code
  • Freeze a holder during a compliance review
  • Owner, agent, compliance and pauser roles, each a multisig
  • Built and tested; not yet deployed to any network. Testnet first, mainnet after an independent audit
03 · Investor dashboard

Investor dashboard

A clear, calm portal for your investors. They verify once, then invest, track and get paid in one place.

  • Verify identity and accreditation once, reuse across offerings
  • Eligibility check before each subscription, with plain-English reasons
  • Fund by ACH or USDC
  • Holdings, value and lock end dates
  • Payout history and statements
  • Documents per offering, with their SHA-256 fingerprints
  • Redemption requests during open windows
  • Support tickets and messages with your team
04 · Landing pages

Landing page builder

Build each offering's page from blocks. Figures come straight from the back office, so the page always matches the record.

  • More than 30 block types, from photo heroes to draw schedules
  • Galleries, floor plans, maps and neighborhood highlights
  • Live unit inventory and sale stages
  • Return calculator, capital stack and distribution waterfall
  • Document room, risk factors and legal disclaimer
  • Your brand colors, light and dark
  • One subdomain per offering on your domain

Integration status

What is connected today

The platform plugs into outside providers for identity, payments and records. This is their status in this demo, read from the live settings.

Token contract roles

Each role held by a multisig, never one key

No single person can mint, move or reconfigure an offering's tokens. Owner changes wait 48 hours before they take effect, so holders can see them coming.

The contract suite is built and tested but not yet deployed to any network. A testnet deployment comes first; mainnet waits on an independent audit.

Token contract roles and their signing thresholds
RoleSignersWhat it can do
Owner3 of 5Appoint roles and change settings, behind a 48-hour timelock
Agent2 of 3Mint after settlement, burn with a reason code, recover a lost wallet
Compliance2 of 3Set transfer rules, freeze and unfreeze holders
Pauser1 of 3Pause transfers in an emergency

What we fixed that others ship

Common gaps in permissioned token suites, and how ours handles them.

  1. Voting weight reads the identity registry.

Only tokens held by verified identities count in a vote, so tokens parked in an unverified wallet cannot tip a decision.

  2. Mint runs the same compliance check as transfer.

A mint cannot create tokens for a wallet that a transfer would refuse.

  3. Burn only by the agent, with a reason code.

Never by allowance, so an approved spender cannot destroy an investor's tokens.

  4. Agent recovery transfers work while paused.

Logged and timelocked, so a lost wallet can be recovered during an incident without reopening trading.

  5. A mint cap per offering.

The contract cannot mint more than the offering's maximum supply, whatever the agent signs.
